GENERAL TERMS AND CONDITIONS OF NOTO GMBH

1. General
These General Terms and Conditions (GTC) apply to all services offered by NOTO GmbH, especially in the areas of occasional passenger transportation, rental car services, and excursion transport by passenger car, as well as in the case of subcontracting orders to partner companies of Noto GmbH. These GTC also apply to all future orders without the need for a renewed agreement. The contract becomes effective once the customer places a binding order for the service. Amendments to these terms are valid only with written confirmation from our side. Should the GTC of Noto GmbH conflict with third-party conditions, only the provisions outlined here apply. Amendments to the GTC are reserved.
2. Subject of the contract / conclusion of the contract and exclusion of passenger transport
Transport orders are accepted verbally, by telephone, in writing, or online at the rates valid at the time of booking. A binding contract is established once the trip is confirmed in writing or when the customer actually starts the trip. In the event of printing, calculation, or writing errors, NOTO GmbH reserves the right to withdraw from the agreement. The customer must provide all relevant information for the trip, such as the departure location, date, number of passengers, vehicle preference, luggage count, or any special requests.
Transportation may be refused if safety is compromised, if the customer disregards the driver’s instructions, or if the vehicle is damaged. For pickups scheduled at airports or train stations, the agreed time is binding. Any changes must be communicated to the driver in a timely manner; otherwise, the customer is liable for any resulting costs. NOTO GmbH is only liable for delays if an exact arrival or departure time was agreed upon and the delay was not due to unforeseen external circumstances. Short-term schedule changes do not exempt the customer from payment obligations. Noto GmbH assumes no liability in the event of unavoidable delays or force majeure.
3. Prices
Prices of NOTO GmbH are firmly negotiated in advance. Prices exclude incidental costs, such as parking, tolls, or tunnel fees. Additional services are charged separately. Price quotes are valid for 14 days. If material or labor costs increase after the quote is provided, the price may be adjusted accordingly. Prices are net, excluding statutory VAT. All prices are quoted in Euro.
4. Payment terms
Payment is due upon service completion and can be made by bank transfer, credit card, or advance payment. For larger orders, a 50% deposit is required. The remaining balance is due within 10 days of invoice receipt. Cash payments in the vehicle are not accepted. Payments are considered complete when the required amount has been credited to NOTO GmbH's account. In case of late payment, NOTO GmbH reserves the right to charge interest on arrears and pass on any costs incurred, such as chargebacks or reminder fees, to the customer.
5. Cancellations
If the customer withdraws from the contract or does not use the agreed services, NOTO GmbH may claim reasonable compensation. If no cancellation notice is provided, the full price is payable. Unless otherwise stated in the order, cancellation fees are as follows:
- up to 2 days before start: free of charge
- less than 2 days but at least 24 hours before start: 50% of the price
- less than 24 hours before start: 100% of the price
NOTE: In some cases, separate cancellation conditions may apply; the cancellation conditions given on the respective order take precedence over the cancellations in our GTCs.
6. Customer and passenger obligations and liability
Passengers must follow safety and behaviour rules and comply with driver instructions. Customers are responsible for ensuring the proper securing of children and luggage. Any damage to the vehicle must be compensated by the responsible party, even if the customer is not personally liable for causing it. If the vehicle is not handled as per the contract, the transportation contract may be terminated immediately, without NOTO GmbH forfeiting its right to payment. Cleaning fees will be charged for any willful contamination.
7. Warranty and limitation of liability
Normal wear and tear on transported goods is excluded from warranty. The customer is liable for all damages to vehicles or transported goods caused by them. The liability of NOTO GmbH is limited to twice the fare, unless the damage was caused intentionally or by gross negligence.
8. Data protection
NOTO GmbH collects and processes personal data in accordance with legal provisions. The customer expressly agrees to the collection and use of their data.
9. Choice of law
The business relationship between NOTO GmbH and the customer is subject to the laws of the Federal Republic of Germany. The place of jurisdiction is the court responsible for the location of Noto GmbH's headquarters, provided the customer is a merchant or a legal entity under public law.
10. Severability clause
Should any provision of these GTC be invalid, the remaining provisions shall remain in effect. The invalid provision shall be replaced by a provision consistent with the intent of the agreement.
